End User Licence Agreement (EULA)
Version 2026-11
Licensor: Marcin Daniun Automatyka, ul. Suwalska 52, 19-300 Ełk, Poland. VAT ID PL8481837200. Registered in the Polish business register CEIDG. Contact: contact@palletdesigner.com.
Please read this agreement before you install or use Pallet Designer. By accepting it in the Software, by buying a licence or by using the Software you agree to it on behalf of the company you work for. If you do not agree, do not install or use the Software.
1. Who this agreement is for
1.1. The Software is sold to businesses and to people acting in their trade or profession. By accepting this agreement you confirm that you act for a business (“you”, “the Customer”).
1.2. Where the law of your country gives you rights that cannot be excluded by contract, those rights stay unaffected by this agreement.
1.3. Purchases are handled by Paddle as reseller and merchant of record. Paddle’s checkout terms cover payment, invoicing, taxes and refunds. This agreement covers the use of the Software.
2. Definitions
- Software: the Pallet Designer program, its installer, documentation, example files, updates and any add-on you have licensed.
- Seat: the right to install and use the Software on one computer (workstation mode) or for one concurrent user on a plant server (plant server mode).
- Licence Key: the code that activates the Software.
- Licence Period: the paid period of a subscription (monthly or annual) or, for a perpetual licence, an unlimited period.
- Edition: the Integrator edition (full program, including station settings and signing of station files) or the Client edition (works with station files signed by an integrator).
- Station File: the file with the settings of a palletising station, signed by the Integrator edition.
- Licence Service: the online licence service the Software uses to verify licences (currently Keygen, operated by Keygen LLC, USA).
- AI Add-on: the optional paid function that sends your request to a language model provider and returns a proposal.
- Order: your purchase through the shop (Paddle) or an invoice from the Licensor.
3. Licence
3.1. The Licensor grants you a non-exclusive, non-transferable licence to install and use the Software for the number of Seats, the Edition, the Licence Period and the add-ons stated in your Order.
3.2. You may use the Software only within your own business: to design pallet patterns, layers, mixes and orders for your own machines or, if you are an integrator, for the machines you build or service for your customers.
3.3. A pack of three Seats is three Seats of the same Edition and the same Licence Period under one Licence Key, for one company.
3.4. The licence is tied to the company named in the Order. You may not resell, rent, lease or sublicense the Software or the Licence Key, and you may not make it available to anyone outside your company, except users on your plant server.
3.5. All rights in the Software stay with the Licensor. You get only the rights written here.
4. Subscriptions
4.1. A subscription runs for the Licence Period and renews automatically at the end of each period unless you cancel it before the renewal date in the Paddle customer portal or by e-mail.
4.2. A cancelled subscription keeps working until the end of the paid period. There is no refund for the remaining part of a period, except as stated in the Terms of Sale.
4.3. When the paid period ends, the Software shows the licence screen and stops computing. You can still save the document that is open and keep every file you have already exported. Your machines keep running on the data already loaded into them. The Software accepts a renewal at any time and keeps your settings and data.
4.4. The licence validity includes a grace period of 7 days after the end of the paid period, to cover late payments.
5. Perpetual licences
5.1. A perpetual licence lets you use, without time limit, the version of the Software current on the day of purchase and every version released during the 12 months after purchase.
5.2. After those 12 months you may buy an update plan for further versions. Without it, the Software keeps working in the last version you are entitled to; newer versions refuse to run with that licence.
5.3. A perpetual licence still verifies itself with the Licence Service (section 6). If the Licensor ever stops the Licence Service, the Licensor will give you a way to keep using your perpetual licence without it (for example an offline licence file) at no extra cost.
6. Licence verification and offline use
6.1. The Software verifies the licence online with the Licence Service when it starts and about once an hour while it runs. Each successful check gives the Software a signed confirmation valid for 96 hours.
6.2. Without internet the Software keeps working for up to 96 hours after the last successful check. After that it shows the licence screen until the next successful check.
6.3. A plant server without internet access can use a signed licence file issued by the Licensor for a fixed period (for example 12 months) and loaded on the licence screen. The Software warns 30 days before such a file expires.
6.4. During verification the Software sends to the Licence Service: the Licence Key, a hardware fingerprint of the computer, the computer name, the operating system version and the Software version. The Licence Service also records the IP address and the time. Details are in the Privacy Policy.
6.5. Setting the computer clock back to extend offline use, or interfering with the verification, ends the licence on that computer.
7. Seats, computers and transfers
7.1. In workstation mode one Seat is bound to one computer. You may move a Seat to another computer yourself in the licence portal, up to two times in any 30 days; further transfers on request.
7.2. In plant server mode the server counts users: one open session with a valid licence is one Seat. When all Seats are in use, the next user waits until a session closes.
7.3. If a computer is lost, replaced or reinstalled, use the transfer in 7.1 or contact support.
8. Editions and station files
8.1. The Integrator edition can create, edit and sign Station Files. The Client edition works only with Station Files signed by an Integrator edition and refuses files changed outside the Software.
8.2. An integrator who signs a Station File confirms that the settings in it match the machine it is meant for. The Licensor does not check Station Files against real machines.
8.3. The signing key delivered with an Integrator licence is confidential. You must protect it and tell the Licensor at once if it may have leaked.
9. What the Software is and what it is not
9.1. Pallet Designer supports the work of engineers. It does not certify a machine, a pallet pattern or a production process.
9.2. The Software produces pallet patterns and machine data (data blocks, move tables, project files, PDF sheets) as proposals. Whether a pattern runs safely on a given machine is decided by the risk assessment of the integrator and verified on the machine before production.
9.3. Safety functions (guarding, zones, speed and force limits, collision protection, emergency stop) belong to the machine and its control system. The Software does not perform safety functions and must not be relied on as a safety component.
9.4. Limits entered in the station settings and the checks the Software performs (collisions, PLC limits, stability hints) are a design aid. The machine controller remains the authority for what the machine may do.
9.5. You are responsible for: the data you enter (products, pallets, packaging, station settings), the decision to run a pattern on a machine, checking the result on the machine before production, commissioning and safety acceptance of the cell, and compliance of the machine with the law that applies to it. If you edit output files outside the Software, the Software’s checks no longer apply to them.
10. Trial
10.1. A trial licence runs for 14 days on one computer, marks every PDF and export with “TRIAL”, and is meant for evaluation, not for production. One trial per company.
11. AI Add-on
11.1. The AI Add-on is optional and separately paid. It sends the text and files you submit, together with a description of how the Software works, to a language model provider and shows you a proposal (layers, patterns, orders, explanations). Nothing is saved until you accept the proposal, and every accepted proposal goes through the same algorithmic checks as manual work.
11.2. In the standard variant the requests go through the Licensor’s account with the provider and are limited to the number of operations per month stated in your Order; when the limit is reached the function pauses until the next month. In the own-key variant you use your own account with the provider under the provider’s terms; the Licensor sets no limit and sees no request content.
11.3. What is sent, what is kept and for how long is described in the AI Add-on Data Terms. Do not submit personal data or confidential data you are not allowed to share with a provider outside your company.
11.4. Proposals from a language model can be wrong. The algorithmic validation of the Software is the only check the Licensor performs; the rest of section 9 applies in full.
12. Updates and support
12.1. During a subscription, and during the update period of a perpetual licence, you may install every new version of the Software. Updates may change functions; the Licensor keeps your files readable by newer versions.
12.2. Support covers the use of the Software and the reporting of errors, by e-mail on business days, usually within 2 business days, and by phone during the hours published on the website. Support does not cover the configuration of machines or PLC programming unless ordered separately.
12.3. The Licensor fixes reproducible errors in the current version within a reasonable time. There is no guaranteed response or fix time.
13. Restrictions
You must not: (a) copy the Software except for backup; (b) share installation files or Licence Keys with anyone outside your company; (c) decompile, disassemble or reverse engineer the Software, except to the extent the law allows this regardless of this clause; (d) remove or circumvent the licence verification or the signing of Station Files; (e) use the Software to build a competing product; (f) use the Software in breach of export control or sanctions law.
14. Warranty
14.1. The Licensor warrants that the Software, when used as described in the documentation, substantially performs the functions described there. If it does not, the Licensor will correct the error or, if that fails within a reasonable time, refund the fee paid for the current Licence Period (for a perpetual licence: the purchase price reduced by 1/36 for each month of use). This is your only remedy for errors.
14.2. EXCEPT AS STATED IN 14.1, THE SOFTWARE IS PROVIDED “AS IS”. THE LICENSOR GIVES NO OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SOFTWARE IS ERROR-FREE OR SUITABLE FOR ANY PARTICULAR MACHINE OR PROCESS. The statutory warranty for defects (Polish Civil Code, art. 558 §1) is excluded as far as the law allows between businesses.
15. Limitation of liability
15.1. Nothing in this agreement limits liability for intent (wilful misconduct), for gross negligence, for death or personal injury, or for anything that cannot be limited under the law that applies to you.
15.2. Subject to 15.1, the Licensor’s total liability under or in connection with this agreement and the Software, in contract, tort or otherwise, is limited to the fees you paid for the Software in the 12 months before the event that caused the damage.
15.3. Subject to 15.1, the Licensor is not liable for indirect or consequential loss, loss of profit, loss of production, downtime, loss or corruption of data, damage to machines, products, pallets or packaging, costs of recall or re-work, or claims of third parties against you, arising from the use of the Software, from patterns or data it produced, from the AI Add-on, or from an interruption of the Licence Service.
15.4. Where the Licensor breaches an essential obligation (an obligation whose fulfilment makes the performance of this agreement possible at all and on which you may rely: delivering a working Licence Key and a Software that substantially performs as documented) through ordinary negligence, liability is limited to the damage typical for this kind of agreement and foreseeable when it was made, and 15.2 applies.
15.5. These limitations apply to each claim and in total, and to everyone acting for the Licensor.
16. Data protection
The Licensor processes personal data (your contact data, licence data, support correspondence) as described in the Privacy Policy on the website. The Software does not send your project data to the Licensor; the AI Add-on sends the data described in the AI Add-on Data Terms to the provider.
17. Term and termination
17.1. This agreement lasts as long as you hold a valid licence.
17.2. The Licensor may end the licence with immediate effect if you breach sections 3, 8.3 or 13 and do not stop the breach within 14 days of a written notice (immediately in the case of circumvention or sharing of keys). In that case there is no refund.
17.3. When the licence ends, you must stop using the Software and delete it from your computers. Files you created with it stay yours.
17.4. Sections 9, 14, 15 and 18 stay in force after the end of the agreement.
18. Governing law and disputes
18.1. This agreement is governed by Polish law. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Mandatory provisions of the law of the country where you are established stay unaffected.
18.2. Disputes are decided by the court competent for the Licensor’s seat. The Licensor may also sue you at your seat.
18.3. Before going to court, both sides will try to settle a dispute by e-mail or a call within 30 days.
19. Changes to this agreement
The Licensor may change this agreement for new versions of the Software and for the next Licence Period, with at least 30 days’ notice by e-mail or in the Software. If you do not accept the change, you may keep using the Software under the old agreement until the end of your current Licence Period or, for a perpetual licence, in the version you are entitled to.
20. General
20.1. Your Order, this agreement, the Terms of Sale, the AI Add-on Data Terms and the Privacy Policy form the whole agreement. If they conflict, the Order comes first, then this agreement.
20.2. Your own purchasing terms do not apply, even if you refer to them in an order.
20.3. If a clause is invalid, the rest stays in force and the invalid clause is replaced by a valid one closest to its purpose.
20.4. You may not assign this agreement without the Licensor’s written consent. The Licensor may assign it to a successor of its business.
20.5. This agreement is written in English. Translations are for information only; the English text governs.
